I specialize in Auto Repair Shops. I've attempted contact with pretty much every shop owner in the Austin, San Antonio, and Houston markets. I know the shop owners that are actively for sale. I know the shop owners that are for sale but not advertised. I know the shop owners that want to sell next year or the year after that. I know the shop owners that want to sell only their business and the ones that want to sell the real estate with the business as a package. I know the really good deals and the not so good deals.

I'm starting to figure this out. I sell auto repair shops only. I do not take on any other types of businesses. It really helps to focus on one thing. I have a network of professionals that can help out. I have lenders, appraisers, and environmental guys that know what I do and what my clients need.

I also have attorneys that will represent the transaction. This saves a lot of money and aggravation. If buyer and seller both want to hire an attorney so they can argue with each other at a combined $700 per hour...then have at it. But I can tell you that a single attorney is the way to go.

And the best for last: I added a bookkeeper to my staff that can clean up your books. Poor books impact a transaction negatively at almost every level. Sometimes it takes months to get the deal off the ground because the seller is not able to provide me a clean set of financials. Frequently buyers are scared off by poor financials. Sometimes there's a real bad surprise in the financials that doesn't show up until due diligence and blows the deal. And I can tell you that no lender will touch a deal unless the financial statements are clean.

I would say half the shops I am in have problems with their books. Why not let my bookkeeper take over and clean them up.

My name is Bryan Baese and I'm the lead broker and principal at RPM Shop Sales. I've been brokering the sale of small businesses since 1998. Before I went out on my own I worked for several large corporations; usually in the acquisitions department. I was moderately successful but never satisfied. It's just not any fun at all sitting at a desk all day. So I went into sales.

I’ve sold tangible items, intangible items, things that are expensive and things that are cheap. I‘ve sold over the phone and I’ve sold face to face. I’ve sold door to door and off the showroom floor. I’ve sold cars, insurance, household items, technical products, high risk investments, trailers out on the highway, and everything in between. But nothing compares to selling a business.
